Welcome to Rekognita's Terms of Service!

What and Why

This is a contract between you (“you,” “You,” or “User”) and Rekognita AI, Inc. (together with its officers, directors, employees, agents, subsidiaries, and affiliates, "Rekognita," "we," or "us"), applicable when you use or access sites, services, applications, tools, features, products, and content provided by Rekognita, in existence now or in the future (“Rekognita Services,” "Rekognita," “Service,” or “Services”). Our Privacy Policy explains what personal information we collect and how it’s used and shared, and this Agreement outlines some of your responsibilities when using the Services.

These Terms Are A Binding Agreement

By using or accessing Rekognita Services, you’re agreeing to these Terms and our Privacy Policy. If you’re using the Services for an organization, you’re agreeing to this Agreement on behalf of that organization, and represent and warrant that you can do so. If you don’t agree to all the terms in this Agreement, you may not use or access the Services.

Please read this Agreement carefully! It includes important information about your legal rights, and covers areas such as automatic subscription renewals, warranty disclaimers, limitations of liability, resolution of disputes by arbitration and a class action waiver. Rekognita reserves the right, at its sole discretion, to modify or replace any of the terms or conditions of this Agreement at any time. It is User’s responsibility to check this Agreement periodically for changes. User’s continued use of the Services following the posting of any changes to this Agreement constitutes acceptance of those changes.

I. Your Content

1. Creating An Account. You may use the Rekognita Services only if you can form a binding contract with Rekognita, and only in compliance with this Agreement and all applicable local, state, national, and international laws, rules and regulations. The Services are not available to any users previously removed by Rekognita.

2. Real identity Requirement. All Rekognita users must use their real names and identities when participating in the Rekognita community. You must provide accurate registration information, including your real name and email address. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure.

3. Different Accounts. We may maintain different types of accounts for different types of users. If you open a Rekognita account on behalf of a company, organization, or other entity, then "you" includes you and that entity.

4. Access Restrictions. We reserve the right to revoke, suspend or terminate, without notice, any user’s access to the Rekognita Services upon any violation or suspected violation of the Terms of Services.

5. Safety. Please safeguard your Account and make sure others don’t have access to your Account or password. You must immediately notify us of any actual or suspected loss, theft or unauthorized use of your Account or password.

6. Age Restrictions. The Services are not intended for and may not be used by children under the age of 13. If you’re under the age of 18, you must have your parent or guardian’s consent to this Agreement.

7. Allowable Use. You represent that you own all rights to content you provide to us or otherwise have all rights and permissions to legally use your User Content via the Services.

8. Use of Your Content. You grant to us a non-exclusive, royalty-free, worldwide, non-revocable, and non-transferable license to access, use, reproduce, process, and analyze your content solely for improving our products and services.

9. Limitations on Your Content. Company shall not share, disclose, distribute, sublicense, or otherwise make Your Content available to any third party, except as required by applicable law.

10. Follow Our Rules. You’re responsible for your conduct and User Content, and you must comply with the terms of this Agreement.

II. Obligations & Restrictions

1. General Restrictions. You will not reverse engineer, decompile, sell, transfer, or create derivative works of the Services.

2. Auxiliary Obligations. You are solely responsible for your interactions with Rekognita and any other Rekognita users.

3. Technical Obligations. Rekognita uses commercially reasonable efforts to make the Services available 24/7. You are responsible for obtaining and maintaining any equipment needed to access the Services.

4. Technical Usage Restrictions. You agree not to engage in bulk downloading, automatic scraping, or any activity that imposes an unreasonable load on our infrastructure.

III. Our Content

All right, title, and interest in and to Rekognita Services are and will remain the exclusive property of Rekognita. You may not duplicate, copy, or reuse any portion without express written permission from Rekognita.

IV. Security And Responsible Disclosures

Rekognita’s internal Information Security & Privacy Policy governs all aspects of information security and privacy. Contact info@rekognita.com for inquiries.

V. Third-Party Account Use For Sign-Ins

We may use third parties to create and authorize user accounts. By using those services, you agree to their terms of use and privacy policy.

VI. Rekognita’s Use of Third-Party Services

Rekognita Services are integrated with various third-party services. We don’t control Third-party Services, and we’re not liable for them or for any transaction you may enter into with them.

VII. Rekognita’s Intellectual Property

1. Rekognita Owns Rekognita. The Services are protected by copyright, trademark, trade secret, and other laws.

2. We Can Use Your Feedback For Free. We welcome your feedback, but you agree that we may use it without any restriction or obligation.

3. Our Demo Content Is For Private Use Only.

4. Our Betas Are Still In Beta.

5. We Use Open Source Software.

VIII. Rekognita’s Rights

1. Important Things We Can Do. We reserve the right to change, restrict, suspend or discontinue the Services at any time.

2. Important Rights Regarding The Content You Share. You grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any IP content that you post on Rekognita (IP License).

IX. Rekognita’s Privacy Policy

When you use Rekognita Services, you consent to the collection and use of information as detailed in our Privacy Policy.

X. Copyright

We respect the intellectual property of others and ask that you do too. Report copyright infringement to info@rekognita.com.

XI. Artificial Intelligence

1. AI Generated Content. Customer accepts that AI outputs may not always be accurate or appropriate. All AI generated work is provided “as is” and without any warranties.

2. Training. Company shall not transmit any Customer Content to an AI system for training purposes unless the training solely benefits the Customer.

XII. Paid Services and Fees

1. Fees. We’ll tell you about fees before charging you. If you don’t pay on time, we may suspend your access.

2. Taxes. All fees are exclusive of applicable taxes.

3. Refunds. Refunds won’t be issued except in our sole discretion, or if legally required.

4. Fee Changes. We may change our fees at any time with advance notice.

5. Our Payment Processor. Our current Payment Processor is Stripe.

6. Fees For Third-party Services. Third-party Services may be non-refundable.

XIII. Third-party Products and Content

Use of third-party products is at your own risk.

XIV. Warranty Disclaimer

REKOGNITA SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

XV. Limitation of Liability

YOU USE THE REKOGNITA SERVICES AT YOUR OWN RISK. IN NO EVENT SHALL REKOGNITA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES. OUR LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID OR $100.00, WHICHEVER IS GREATER.

XVI. Indemnification

You agree to indemnify and hold harmless Rekognita from and against all damages, losses and expenses arising out of your breach of this Agreement.

XVII. No Waiver

Our failure to enforce a provision does not constitute a waiver of our right to do so in the future.

XVIII. Dispute Resolution

1. Informal Resolution. Before filing a claim, try to resolve the dispute by emailing info@rekognita.com.

2. Arbitration Agreement. You and Rekognita agree to resolve claims through final and binding arbitration.

3. Arbitration Opt-Out. You can opt out by emailing within 30 days of first agreeing.

9. NO CLASS ACTIONS. You may only resolve disputes on an individual basis.

XIX. Additional Terms

1. Entire Agreement. This Agreement constitutes the entire agreement between you and Rekognita.

2. Controlling Law. Governed by the laws of the State of California.

3. Waiver, Severability, And Assignment.

4. Modifications To Agreement. We may revise this Agreement from time to time.

5. Modifications To Service. We may change the Services at any time.

6. Translation. This Agreement was originally written in English (US). The English version will control.

7. Assignment. This Agreement may not be transferred by you, but may be assigned by Rekognita.
